Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, programs, events, content, and services offered by Herriot Business Consulting, LLC, a California limited liability company (“Herriot,” “we,” “us,” or “our”), including without limitation the Time Freedom® brand, website, digital content, group programs, membership offerings, live events, workshops, speaking engagements, calculators, podcasts, email communications, and related materials (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Service.
ELIGIBILITY
The Service is intended for adults only. You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.
EDUCATIONAL NATURE OF THE SERVICE
The Service provides educational and informational content related to money, entrepreneurship, small business, work design, and lifestyle design. The Service does not provide financial planning, investment advice, tax advice, legal advice, or investment management services of any kind. Any such regulated services are offered, if at all, by a separate legal entity and are governed by separate agreements. Nothing on the Service should be construed as individualized professional advice. You are solely responsible for your decisions and actions.
LICENSE AND PERMITTED USE
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only, subject to these Terms. You may not (A) copy, reproduce, distribute, sell, license, or exploit any part of the Service; (B) use the Service for commercial purposes without our express written permission; (C) share or redistribute paid or gated content; (D) remove or alter proprietary notices; or (E) misrepresent the source or ownership of the Service.
INTELLECTUAL PROPERTY
All content included in the Service, including but not limited to text, audio, video, podcasts, books, calculators (including the Time Freedom Calculator), frameworks, trademarks, logos, course materials, and written content, is owned by or licensed to Herriot and is protected by intellectual property laws. All rights not expressly granted are reserved.
USER CONTENT AND FEEDBACK
You may submit comments, feedback, testimonials, or other content (“User Content”) through the Service. By submitting User Content, you grant Herriot a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, distribute, and display such content for lawful business purposes, including marketing and promotional use. You represent that you have the right to submit such content and that it does not infringe on any third-party rights.
PROHIBITED CONDUCT
You agree not to (A) use scraping, crawling, data mining, bots, AI training, or automation tools to access the Service without our prior written permission; (B) reverse engineer or create derivative works from the Service; (C) interfere with or disrupt the Service or its security; or (D) engage in unlawful, harmful, or deceptive conduct. Permission-based access for research, media, or other uses must be obtained in writing.
PAYMENTS AND PURCHASES
Some parts of the Service may require payment. Payments are processed through third-party providers such as Stripe. We do not store your payment information. We reserve the right to modify pricing at any time, limit availability by geography or capacity, and refuse or cancel orders at our discretion. You agree to provide accurate and current payment information.
REFUND POLICY
Refunds are handled on a case-by-case basis, at our sole discretion. Nothing in these Terms creates an entitlement to a refund. If you believe a refund request is warranted, you may contact us at brian@herriotconsulting.com.
THIRD-PARTY SERVICES
The Service may integrate or link to third-party platforms including, without limitation, ConvertKit, Circle, Zoom, Riverside, Stripe, and Google Workspace. We do not control these third-party services and are not responsible for their content, availability, or policies. Your use of third-party services is governed by their respective terms.
NO AFFILIATES
We do not currently operate affiliate partnerships or earn commissions from third-party products or services referenced through the Service.
AVAILABILITY AND MODIFICATIONS
We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
NO WARRANTIES
The Service is provided “as is” and “as available.” We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability. Your use of the Service is at your own risk.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Herriot shall not be liable for any indirect, incidental, consequential, punitive, or special damages. Herriot’s total liability to you for any claim shall not exceed the greater of $1,000 or the total amount you paid us for the Service. Some jurisdictions do not allow certain limitations. If applicable, these limitations apply to the fullest extent permitted.
INDEMNIFICATION
You agree to indemnify and hold harmless Herriot, its officers, contractors, and agents from any claims, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.
DISPUTE RESOLUTION
(A) Informal Resolution. Before initiating any formal proceeding, you agree to contact us at brian@herriotconsulting.com with a written description of the dispute, and we will attempt to resolve the issue informally. (B) Mediation. If the dispute is not resolved, the parties agree to attempt mediation in California before proceeding further. (C) Arbitration. If mediation fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in California, under its applicable rules. (D) Class Action and Jury Waiver. You waive the right to a jury trial and agree that disputes may be brought only on an individual basis. You waive the right to participate in any class, collective, or representative action.
GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
GENERAL PROVISIONS
(A) Independent Parties. Nothing in these Terms creates an employment, partnership, or agency relationship. (B) Severability. If any provision is held unenforceable, it will be modified only to the extent necessary to make it enforceable. (C) Assignment. You may not assign these Terms without our written consent. (D) Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Herriot regarding the Service. (E) Waiver. Failure to enforce any provision is not a waiver of that provision.
